POLICIES & INFORMATION
Trade terms & conditions
Terms governing B2B wholesale supply by COSMIC TRADING LEIC LTD.
1. About us
These terms and conditions ("Terms") govern the supply of goods by COSMIC TRADING LEIC LTD ("we", "us", "our") to business customers ("you", "your"). Our registered office is First Floor, 91 Constance Road, Leicester, LE5 5DF, United Kingdom. We were established in 2023 and supply soft drinks, energy drinks, mixers, water and juice on a wholesale basis.
You can contact us at 0845 860 1727 or by email at sales@cosmictrading.online or info@cosmictrading.online.
2. Trade only
We supply businesses only. By applying for a trade account or placing an order, you confirm that you are acting in the course of a business and not as a consumer. Consumer protection legislation does not apply to these Terms.
3. Trade accounts
All trade accounts are subject to application, review and approval by us. We may decline an application, or suspend or close an account, at our discretion. You are responsible for keeping your account details accurate and up to date, including your business name, address, contact details and VAT status. You must keep your login credentials confidential and notify us immediately of any suspected misuse.
4. Prices
All prices are quoted per case in pounds sterling (GBP) and exclude VAT, unless stated otherwise. Prices exclude delivery charges, deposits and any other agreed charges, which are shown separately. We may change our prices at any time. The price that applies to your order is the price confirmed at the point of order acceptance.
5. Minimum order and volume pricing
The minimum order is 10 mixed cases. Products may be mixed across categories to meet this minimum. Volume discounts apply to the total number of cases on a single order, calculated on the list-price subtotal:
- 10–39 cases: list price.
- 40–119 cases: 6% discount off the list-price subtotal.
- 120+ cases: 11% discount off the list-price subtotal.
Discounts apply by total cases on the order, not by product line. Discounts cannot be combined with any other offer unless we agree in writing.
6. Orders and acceptance
An order is only accepted when we confirm it. The Order on this website, enquiries and trade applications are not offers and do not form a contract. We may accept or decline an order, in whole or in part, at our discretion. If we decline an order, we will try to tell you promptly. Where you have already paid, we will refund any amount due for the declined part.
7. Availability
All products are subject to availability. Product names, stock levels and pallet quantities shown on this website are illustrative and may change. We will tell you if a product you ordered is unavailable and, where possible, offer an alternative.
8. Delivery
Delivery zones, lead times, charges and free-delivery thresholds are set out on our delivery page. Requested delivery dates are not guaranteed. Delivery is complete when the goods are delivered to the address you have given, and risk in the goods passes to you at that point.
You must provide safe and suitable access for delivery, including any unloading arrangements we have agreed. If delivery fails because of access restrictions, incorrect information or the absence of a suitable person to receive the goods, we may charge for the failed delivery. Please see our returns, damage & shortages policy for what to do if something is wrong with a delivery.
9. Payment
Unless we have agreed credit terms in writing:
- New accounts are supplied on payment before delivery, by card or by immediate bank transfer.
- Once a satisfactory payment history has been established, we may offer 30-day credit terms, subject to approval and to any credit limit we set.
Where credit terms are agreed, payment is due within 30 days of the invoice date, unless stated otherwise on the invoice. We may withdraw or amend credit terms at any time. We reserve the right to charge interest on overdue amounts at a rate permitted by law, and to recover reasonable costs of collection.
10. Title
Title to the goods remains with us until we have received payment in full for those goods and any other amounts you owe us. Until title passes, you must store the goods separately and clearly identify them as our property, and you may not use them as security for any borrowing.
11. Damage, shortages and returns
Our returns, damage & shortages policy applies. Please check deliveries and report any issue within the deadlines set out in that policy. Nothing in that policy affects rights you have under law that cannot be excluded.
12. Pallets and returnable packaging
We operate a one-for-one pallet exchange. Please have the same number of empty pallets available for collection at your next delivery. Returnable crates, glass bottles and other deposit-bearing packaging are credited at the deposit value shown on the delivery docket, provided they are returned clean and fit for reuse.
13. Liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
Subject to the paragraph above, and to the fullest extent permitted by law:
- We are not liable for loss of profit, loss of business, loss of goodwill, loss of anticipated savings, or any indirect or consequential loss.
- Our total liability arising out of or in connection with any order is limited to the amount you paid for the goods in that order.
- We are not liable for any loss or damage caused by your storage, handling, stacking or temperature control of the goods after delivery.
Nothing in this clause affects your statutory rights where they cannot be excluded.
14. Force majeure
We are not liable for any failure or delay in performing our obligations caused by events outside our reasonable control, including but not limited to supply shortages, transport disruption, industrial action, severe weather, or failures of suppliers or carriers. If such an event continues for a significant period, either party may cancel the affected order without liability for the cancelled part.
15. Website and account security
This website is provided for information and order planning. While we take reasonable steps to keep it accurate and secure, we do not guarantee that it will be free from errors or interruptions. You are responsible for the security of your own devices and for keeping your account credentials confidential.
16. Personal information
We handle personal information in accordance with our privacy notice. Please read it to understand how we collect and use personal data.
17. Changes to these Terms
We may update these Terms from time to time. The version in force at the time of your order applies to that order. The current version will always be available on this page. These Terms were last updated in October 2026.
18. Governing law
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms or any order will be subject to the exclusive jurisdiction of the courts of England and Wales, unless we agree otherwise in writing.
